Key Responsibilities: Under minimal supervision, directly handles all shareholder services functions including: Acting as a liaison between shareholders and the transfer agent; Handling all shareholder direct inquiries either written or oral; Liaising with the transfer agent, monitoring the cost and quality of the performance of the transfer agent per contractual terms and recommending changes when appropriate; Manage escheatment of dividends and shares to the various states for lost or abandoned shareholders; Coordinating with Human Resources and Corporate Secretary to implement all required actions related to long term incentive program equity awards; Coordinating the common stock dividend and MLP distribution payment process; Administering the employee stock purchase plan; Supervising, coordinating and organizing all annual shareholder meeting activities including securing the location; Overseeing physical production of the proxy statement and card; Drafting of proxy statement compensation, stock ownership and other tables; Coordinating materials, overseeing dividend related filings with the NYSE; and Monitoring the solicitation and tabulation of all proxies. Assist with other Corporate Secretary functions, including: Assisting in the coordination and organization of Board of Director meetings; Assisting with necessary corporate filings and reporting obligations; Providing support on the ongoing periodic reporting under the Exchange Act (Forms 3, 4, 5, 8-K, 10-K, 10-Q, DEF 14A, 424B documents, EDGAR management); and Maintenance of corporate records, department files and archives, obtaining signatures from executives, project coordination, providing back-up to other team members and performing research. Selection Criteria Minimum five years of related shareholders services required; 10+ years of related experience preferred. Familiarity and experience with BoardVantage, sec.gov, netfiler, Secretariat, Section 16 reporting system (Computershare Governance Services), Fidelity Stock Plan Administration System, DTC, and egovdirect IT systems preferred. Excellent PC skills (MS Word, Excel, PowerPoint). Skilled at managing multiple tasks simultaneously and effectively. Ability to function autonomously, yet understands necessity of advising Corporate Secretary/HR team of work progress and any unusual situations. Performs a variety of duties relative to operation and maintenance of compressor stations, such as: oiling, greasing, cleaning; assisting in dismantling, repairing and overhauling gas compressors and auxiliary compressor station and/or extraction plant equipment; performing good housekeeping activities, such as, cleaning, removing oil and dirt from equipment and piping, washing windows and yard maintenance; assisting in erecting buildings, pouring concrete, installing new equipment and erecting fences and other facilities. Performs various measurement activities, such as: changing gas measurement charts, entering explanation of meter conditions or questionable items on charts: assisting in installing and/or repairing meters and regulators: reading consumer meters: and taking readings on odorizers.
